Seacoast Barkery LLC Wholesale Agreement

Thank you for your interest in opening a wholesale account with Seacoast Barkery LLC (“Seacoast Barkery”). By opening a wholesale account, you agree to comply with the policies outlined in this Wholesale Agreement (“Agreement”).

1. Order Requirements

    • Opening Orders: Must be placed within 30 days of account approval and meet the minimum order of $100. Special exceptions may allow $50 with prior approval.
    • Reorders: Minimum order is $50.
    • Order Placement: All orders must be placed via email or through the Seacoast Barkery online portal (with prior account approval).
    • Payment Terms: New accounts are not extended credit; all orders must be paid in full prior to shipping. Third-party payments are not accepted.
    • Order Fulfillment: Orders are baked to order in small batches; typical delivery is 1–2 weeks.
    • Discounts: Wholesale pricing/offers cannot be combined with coupons or retail promotions.

2. Documentation

    • All wholesale accounts must provide a valid state-issued resale exemption certificate. If the state does not collect sales tax, a copy of the business tax ID is required.
    • A signed copy of this Agreement is required to receive wholesale pricing, catalogs, and related documents.

3. Sales Channels & Marketing

    • Wholesale customers may not resell Seacoast Barkery products on third-party marketplaces, including but not limited to: Amazon, Walmart Marketplace, eBay, Alibaba, Etsy, Jet.com, Sears, or social media marketplaces.
    • Wholesale customers may not sell to or through other businesses. Products must be sold only at the location owned or leased by the account holder.
    • All products must retain original Seacoast Barkery branding and packaging. Modifications are strictly prohibited.
    • Wholesale customers must comply with Seacoast Barkery’s Digital Marketing Policy and Minimum Advertised Pricing (MAP) Policy. Noncompliance may result in permanent account closure without notice or appeal.
    • Promotional materials generally do not require pre-approval, but Seacoast Barkery reserves the right to review and require modifications at its discretion.

4. Shipping

    • Wholesale customers are responsible for all shipping, handling, and customs fees, unless otherwise agreed in writing.
    • Drop shipping is not offered.
    • Processing time (baking & packaging): 3–7 business days.
    • Shipping charges: Average orders can expect a $20 flat rate cost. Typical shipping is 15–20% of order total.
    • Shipping costs depend on order size, packaging, and product requirements; Seacoast Barkery will select the most appropriate and efficient method.
    • Products are made and shipped from Hampton, NH.
    • International shipping is not available.
    • For optimal shipping efficiency, orders of 4–6 cases are recommended.
    • Pre-ordered items will ship as they become available.

5. Returns & Exchanges

    • All goods must be inspected upon delivery. Claims must be made on the day of delivery; all sales are final thereafter.
    • Customers should document any concerns with photographs and original packaging and email claims to seacoastbarkery@gmail.com.
    • Returns/refunds require prior approval from Seacoast Barkery.
    • Except for manufacturer defects or recalls, wholesale customers are responsible for return shipping costs, unless otherwise agreed in writing.

6. Special Notes & Policy Enforcement

    • Seacoast Barkery reserves the right to refuse any wholesale order and to close accounts that do not comply with this Agreement.
    • Policies are subject to change with or without notice.
    • This Agreement incorporates by reference the Digital Marketing Policy and MAP Policy.

Policy Violations:

    • First-time inadvertent violations may result in a warning letter.
    • Second or subsequent violations may result in:
      1. Refusal of future orders,
      2. Cancellation of backorders or pending shipments,
      3. Pursuit of legal remedies.
    • Seacoast Barkery employees are not authorized to discuss violations outside the company. Resellers must direct inquiries to the executive team.

7. Examples of Violations

The following are considered violations and may result in immediate enforcement:

    • Selling Seacoast Barkery products via Amazon, eBay, or any third-party marketplace.
    • Listing products below MAP on websites, Google Shopping, or paid advertising campaigns.
    • Acquiring URLs to sell Seacoast Barkery products without permission.

Note: These examples are illustrative and not exhaustive.

8. Miscellaneous

    • Policies may not be shared outside Seacoast Barkery without prior written permission.
    • Seacoast Barkery reserves the right to determine which retail outlets it supplies and may refuse orders at its discretion.
    • If any provision is deemed invalid or unenforceable, it will be severed or amended to preserve the intent of this Agreement, with the remainder remaining in full force.
